浅谈商业秘密的保护
摘 要：在现代商业竞争中,“商业秘密”成为能给经营者带来巨大竞争优势的“秘密武器”.因而,对商业秘密进行保护成为人们的共识.随着人才流动的愈加频繁,给用人单位的商业秘密保护带来了极大的挑战.商业秘密的外泄,不仅会给企业造成无法估量的损失,而且会在行业内发生各种各样的“大战”,使同行业间产生不正当的竞争.
本文介绍了商业秘密的构成要件,运用所学的法律相关知识,对我国商业秘密保护的现状进行了综合分析,说明了目前导致企业商业秘密流失的原因及形式,从法律方面对保护商业秘密进行从新认识,从而选择最佳的商业秘密保护措施.对商业秘密的保护阐述了自己的观点,为各民事主体保护自己的商业秘密以及合理避开他人侵权纠缠,在频繁的贸易交易中保守自己企业的商业秘密,维护自身的利益,在“与狼共舞”中取得胜利.

abstract：in nowadays commercial competition,"trade secret"has become the "secret power" to bring marketing managers great advantages in competition.as a result,it is now a consensus to protect the "trade secret".with more frequency in the flow of talents ,greater chanlleges have been posed to the protection of "trade secret" for the employers.transpiring of trade secret will not only bring the interpreneurs unconsiderable loss but will trigger all kinds of "commercial wars",which will cause unfair competition among the trades.
this paper covers the components of trade secret,gives a comprehensive analysis of the current situation of Chinese trade secret using the relevant law knowledge the author have learned.this paper will also indicates the reasons and formation of causing the flow of trade secret nowadays and brings a new concept of protecting trade secret from law aspect so as to choose the best protection.this paper will elaborate the author' own opinion on the pretection of trade secret for the civil subjects to protect their own trade secret,reasonably avoid others' tortious engagement and to protect their own interest in the frequent business trade to win the victory in the "dances with wolves".
